SEC Proposes Regulation E-Delivery: Modernizing Capital Markets Communications

On July 16, 2026, the SEC published proposed Regulation E-Delivery (“Reg E-Delivery”) to expand the ability of issuers, market intermediaries, and others to use electronic delivery to satisfy requirements to deliver regulatory information, including proxy statements and prospectuses, under the federal securities laws.  This sweeping rulemaking would shift the default mechanism for regulatory disclosures from traditional paper mailing to electronic delivery across federal securities laws.

For decades, public companies, investment advisers, broker-dealers, and investment funds have operated under legacy SEC guidance established in the 1990s. Under that old framework, sending materials electronically required obtaining prior affirmative opt-in consent from each investor. Proposed Reg E-Delivery replaces that model with an electronic default framework. This update eliminates administrative friction, printing expenses, and shipping delays while preserving full choice for investors who prefer physical paper.  If adopted, Reg E-Delivery would be the SEC’s primary rule addressing e-delivery superseding current guidance on the subject.

SECが電子配信に関する規制案を提示:資本市場コミュニケーションの近代化

2026年7月16日、SECは、発行会社、マーケット・インターミディアリーなどが、連邦証券法に基づく委任状説明書や目論見書を含む法令上の情報の交付義務を電子配信によって履行できる範囲を拡大する規則案「電子配信規則案」を公表しました。この包括的な規則制定により、連邦証券法全般における法令上の開示のデフォルトの手段は、従来の紙媒体による郵送から電子配信へと移行することになります。

数十年にわたり、公開会社、投資顧問、ブローカー・ディーラー、投資ファンドは、1990年代にSECが策定した従来のガイダンスに基づいて運用してきました。この旧来の枠組みでは、資料を電子的に配信するためには、各投資家から事前に明示的な同意を得る必要がありました。今回の規則案では、この仕組みを電子配信を原則とする枠組みに置き換えます。この変更により、投資家が紙媒体を希望する場合にはその選択肢を完全に維持しながら、事務負担、印刷費用、発送の遅延を解消することが可能になります。採択された場合、この規則は電子配信に関するSECの主要な規則となり、現在の関連ガイダンスに取って代わることになります。

SECのポール・S・アトキンス委員長は、この近代化の取り組みが持つ戦略的重要性について、次のように強調しました。

電子配信規則案の適用範囲と主要な定義Remove term: Personal Financial Information (PFI) Personal Finan

今回の規則案は、3つの基本的な定義を通じて、市場参加者および規制対象となる開示に幅広く適用されます。電子配信規則案では、一定の条件を満たすことを前提として、対象となる事業体が対象情報の交付方法として電子配信をデフォルトの手段として利用することを認めます(義務付けるものではありません)。

対象事業体

提案されている「対象事業体」の定義には、連邦証券法に基づき、投資家または市場参加者に対して対象情報を交付する義務を負うすべての個人または組織が含まれます。対象となる事業体には、以下が含まれます。

  • 1934年証券取引所法に基づく報告会社、および1933年証券法に基づき証券募集の登録を行う発行会社。
  • ミューチュアル・ファンド、上場投資信託(ETF)、クローズドエンド型ファンドを含む登録投資会社。
  • 事業開発会社(BDC)。
  • 登録投資顧問(RIA)および免除報告アドバイザー。
  • 登録ブローカー・ディーラーおよび地方債証券ディーラー。
  • 登録移転代理人および清算機関。

対象情報

「対象情報」には、連邦証券法に基づいて義務付けられているほぼすべての法定開示および規制上の開示が含まれます。公開事業会社については、対象情報には以下が含まれます。

  • 証券法に基づく目論見書および目論見書補足書。
  • 規則14Aおよび規則14Cに基づく委任状説明書、委任状投票カード、情報説明書。
  • 年次報告書、様式10-Kによる提出書類、四半期報告書である様式10-Q、および株主向け報告書。
  • 公開買付け関連資料およびスケジュール13E-3に基づく取引説明書。

投資顧問および投資ファンドについては、対象情報にはファンドの目論見書、概要目論見書、年次および半期の株主向け報告書、様式ADV第2部のパンフレット、様式CRSの顧客関係概要が含まれます。ブローカー・ディーラーについては、この用語には取引確認書、顧客口座明細書、最善の利益規則に基づく開示が含まれます。

この規則案では、対象情報から明示的に除外されるものを3つに限定しています。それは、クラウドファンディング規則に基づく開示、規則15c2-11に基づくブローカー・ディーラー情報、および規則15Fi-2に基づく証券ベース・スワップ取引確認書です。これら3つのカテゴリーについては、引き続き、それぞれに定められた個別の法定交付規則が適用されます。

対象受領者

「対象受領者」には、連邦証券法に基づき対象情報を受領する権利を有する、現在または将来の顧客、依頼人、個人投資家、機関投資家である株主、取引相手方、または証券保有者が含まれます。

交付方法と技術的要件

電子配信規則案は、事前に明示的な同意を取得することなく、対象事業体が電子的な方法で交付義務を履行できるセーフハーバーの枠組みを定めています。このセーフハーバーを利用するためには、対象事業体は以下の3つの基本的な条件を満たす必要があります。

第一に、受領者が対象事業体に電子アドレスを提供しているか、その電子アドレスを連絡手段として使用することを承諾している必要があります。電子アドレスは柔軟に定義されており、電子メールアドレス、テキストメッセージを受信できる電話番号、口座のオンラインポータルを通じたダイレクトメッセージ、その他の電子的なメッセージング手段が含まれます。

第二に、対象事業体は、対象情報が指定された電子アドレス宛てに電子的に送付されることを受領者に明確に通知しなければなりません。

第三に、受領者はいつでも電子配信を拒否し、紙媒体の書類を無料で請求できる権利を有します。

また、この規則案では、対象となる文書に個人金融情報(PFI)が含まれているかどうかに応じて、2つの異なる電子配信方法を定めています。

交付方法

提案されている電子配信規則案では、対象事業体は、提供する情報の種類に応じて、2つの電子配信方法を利用できるようになります。それは、直接交付と利用可能通知です。利用可能な交付方法は、対象情報に個人金融情報(以下「PFI」)が含まれているかどうかによって異なります。PFIは、対象受領者の個人的な財務事項に関する情報として定義される予定です。

電子配信の方法にかかわらず、対象情報の交付には、以下の手続きについて説明する明確な通知を目立つ形で記載する必要があります。(1) 受領者から請求があった場合に対象情報の紙媒体を入手する方法、および対象事業体が対象情報の紙媒体を無料で提供する義務、(2) いつでも電子配信を拒否し、拒否の手続き後、対象情報の全部または一部について、無料で紙媒体による交付を受ける方法、(3) 電子アドレスを無料で更新する方法。この通知には、少なくとも、これらの請求や更新を行うことができるウェブサイトへの案内を記載する必要があります。

また、電子配信の方法が利用可能通知であるか対象情報の直接交付であるかにかかわらず、対象事業体は、連邦証券法に基づき対象情報の交付が義務付けられている期限までに、対象情報を交付しなければなりません。

直接交付

対象情報に個人金融情報が含まれていない場合、たとえば公開会社の委任状説明書、目論見書、年次報告書、一般的なファンド開示などについては、対象事業体は直接電子配信を利用できます。認められる直接交付の方法には、以下が含まれます。

  • 電子メール本文に文書全体を直接記載する。
  • PDFなどの標準的な電子ファイルとして文書を添付する。
  • 中間ページなどを経由することなく、文書全体を直接開くことができるハイパーリンクを提供する。

利用可能通知

対象情報に個人金融情報が含まれる場合、たとえば顧客の口座明細書、ポートフォリオの保有銘柄、取引確認書などについては、プライバシーを保護するため、対象事業体は通知とアクセスを組み合わせた方法を利用する必要があります。

この方法では、対象事業体は、パスワードで保護された顧客ポータルなど、安全性が確保され、アクセスが制限されたウェブサイト上に文書を掲載する必要があります。同時に、対象事業体は、対象受領者に利用可能通知を電子的に直接送付します。この通知では、新しい文書が利用可能になったことを知らせ、ログインページへの直接リンクを提供するとともに、資料へのアクセス方法を案内します。

紙媒体による委任状通知の廃止と委任状交付制度の抜本的な見直し

提案されている電子配信規則案は、証券取引所法規則14a-16および14c-2に基づく企業の委任状勧誘について、基本的な変更をもたらします。

現在の実務では、通知・アクセスモデルを利用する公開会社は、事前に電子配信への同意をしていないすべての株主に対して、「委任状資料のインターネット上での利用可能性に関する通知」を紙媒体で郵送する必要があります。この紙媒体による通知要件は、公開会社の発行体に多額の印刷費用、郵送の遅延、事務負担を生じさせています。

提案されている電子配信規則案では、紙媒体による「委任状資料のインターネット上での利用可能性に関する通知」を完全に廃止します。その代わり、発行会社は、委任状説明書、委任状投票カード、年次報告書、情報説明書を、直接電子配信または電子的な利用可能通知によって交付できるようになります。

さらに、この規則案では、紙媒体の通知を郵送する際に従来義務付けられていた、株主総会の40暦日前までに通知するという事前通知期間も撤廃されます。提案されている枠組みでは、電子的な委任状資料は、適用される州会社法および証券取引所法に基づく提出スケジュールで定められた通常の期限までに交付すればよいことになります。

また、この規則案では、企業結合に関する委任状勧誘に対する現在の除外規定も撤廃されます。合併、株式交換、企業再編を行う公開会社は、通常の年次株主総会と同じ簡素化された規則に基づき、M&Aに関する委任状資料を電子配信できるようになります。

資本市場取引における目論見書交付への影響

今回の規則案は、登録一次募集および流通市場での売却における目論見書の交付義務を簡素化します。

証券法第5条(b)(2)に基づき、州際通商を通じて販売される証券には、法定の第10条(a)目論見書を同時に添付するか、事前に交付する必要があります。従来、規則172により、一定の公開募集については「アクセス=交付」とみなす仕組みが設けられていましたが、一部の市場取引やファンドによる分配については、手続き上の空白が残されていました。

電子配信規則案では、目論見書の交付を、電子配信を原則とする統一的な制度に組み込みます。引受会社、発行会社、売却を行うブローカー・ディーラーは、最終目論見書への直接リンクまたはファイルを添付した電子的な連絡を送付することで、目論見書の交付義務を自動的に履行できるようになります。

この規則改正により、株式募集、債券発行、追加募集、シェルフ登録に基づく募集、様式S-8による従業員給付制度の登録など、さまざまな取引における目論見書の交付が簡素化されます。

電子アドレスの管理、交付失敗への対応、投資家による拒否の保護措置

投資家が法令上の文書に継続的にアクセスできるようにするため、今回の規則案では、電子アドレスの管理および交付失敗時の対応について、厳格な運用基準を設けています。

交付失敗の特定と是正

電子的な送信が失敗した場合、たとえば自動返信によるメールの送信エラー通知やシステムエラー通知によって失敗が確認された場合、対象事業体は直ちに是正措置を講じなければなりません。対象事業体には、以下の対応が求められます。

  1. 登録されている別の電子アドレスまたは更新後の電子アドレスに、再度連絡を送信する。
  2. 住所の表記上の誤りを修正するため、合理的な範囲で電子アドレスを確認する。
  3. 電子配信を速やかに完了できない場合は、3営業日以内に紙媒体による郵送に切り替える。

紙媒体による交付請求と電子配信の拒否手続き

対象受領者は、対象情報の一部または全部のカテゴリーについて、いつでも電子配信を拒否する絶対的な権利を有します。投資家が紙媒体による交付を請求した場合、対象事業体は速やかに記録を更新し、無料で当該口座への交付方法を紙媒体に戻さなければなりません。

さらに、投資家が電子配信を継続して利用している場合でも、過去に電子配信された特定の文書について、紙媒体の写しを請求することができます。対象事業体は、手数料を請求することなく、請求された紙媒体の写しを3営業日以内に提供しなければなりません。

ウェブサイト上での利用可能性に関する要件

利用可能通知の方法により文書をウェブサイトに掲載する場合、当該資料は定められた期間にわたってアクセス可能な状態を維持しなければなりません。個人金融情報を含む文書は、少なくとも3年間掲載する必要があります。個人金融情報を含まない文書は、別の連邦証券規則により、より長い保存期間が定められている場合を除き、少なくとも1年間ウェブサイト上で利用可能な状態にしておく必要があります。掲載されるすべての文書は、閲覧、印刷、ダウンロードがしやすい形式で提供しなければなりません。

既存の紙媒体による受領者に対する移行措置と必要な通知

現在、紙媒体による開示情報を受領している投資家を保護するため、今回の規則案では、対象事業体が紙媒体の受領者を電子配信をデフォルトとする方式に移行させる前に、所定の移行手続きを行うことを定めています。

対象事業体が既存の紙媒体による受領者の電子アドレスを保有している場合でも、その受領者を直ちに電子配信に切り替えることはできません。対象事業体は、以下の2段階の紙媒体による移行通知を行う必要があります。

  • 初回の紙媒体による通知: 移行日の少なくとも180暦日前に送付し、電子配信をデフォルトとする方式への移行予定を受領者に通知します。また、登録されている電子アドレスを示し、電子配信を拒否する権利について説明するとともに、紙媒体による交付を継続する方法を案内します。
  • フォローアップ通知: 移行日の30暦日前に送付し、変更予定を改めて通知するとともに、電子配信を拒否する権利を再度説明します。

既存の紙媒体による受領者が、いずれかの通知に対して電子アドレスを確認または更新することで応答した場合、2回目の通知は不要となり、当該口座は円滑に電子配信へ移行します。対象事業体が電子アドレスを保有していない既存の受領者については、引き続き紙媒体による交付が行われます。

規則30e-3の撤回、ガイダンスの更新、施行スケジュール

電子配信規則案は、連邦証券規制の枠組み全体における電子的な開示に関する規則を統一し、重複する規定を廃止するものです。

この規則案では、投資会社法に基づく規則30e-3を正式に撤回します。同規則は従来、投資ファンドの株主向け報告書について、ウェブサイト上での利用可能性を定めていました。今後、ファンドの報告書の交付は、統一された電子配信規則案の枠組みの下で全面的に行われることになります。

また、新たな規則は、電子配信に関して1995年、1996年、2000年にSECが公表した、数十年にわたる従来の解釈ガイダンスにも取って代わります。分散していたガイダンスを単一の明確な規制上のセーフハーバーに置き換えることで、SECはコンプライアンス担当者や法律顧問に対して、遵守すべき明確な基準を提供します。

SECは、最終規則が連邦官報に掲載された後、1年間の遵守移行期間を設けることを提案しています。リリース番号33-11430に対するパブリックコメントは、2026年9月21日まで受け付けられます。

実務上の対応

提案されている電子配信規則案は、市場における情報伝達から事務コストや業務上の負担を取り除く、実務的かつ実行を重視した枠組みを提供するものです。

最終規則の採択に備え、公開会社の取締役会、コーポレート・セクレタリー、コンプライアンス責任者は、まず以下の対応を進めるべきです。

  1. 株主情報の確認: 株主名簿管理人、委任状勧誘代理人、ブロードリッジのような委託業者と連携し、現在の株主の電子メールアドレスの登録状況を確認するとともに、電子配信の拒否状況を管理する仕組みを見直す。
  2. 移行通知の準備: 顧客および株主のリストを確認し、180日前および30日前の紙媒体による移行通知が必要となる口座を特定する。
  3. 委託業者との契約の更新: 印刷会社、委任状資料の配布業者、IT・ウェブホスティング事業者との契約を見直し、直接交付および利用可能通知に関する技術要件に対応できるよう調整する。

SEC Spring 2025 Regulatory Agenda

The SEC has published its semi-annual Spring 2025 regulatory agenda (“Agenda”) and plans for rulemaking.  The Agenda is published twice a year, and for several years I have blogged about each publication.  Although items on the Agenda can move from one category to the next, be dropped off altogether, or new items pop up in any of the categories (including the final rule stage), the Agenda provides valuable insight into the SEC’s plans and the influence that comments can make on the rulemaking process.

The 211 Rules And Shell Companies

In September 2020, the SEC adopted a complete overhaul of the 15c2-11 rules, the new rules of which went into effect on September 28, 2021.  From a very high level, the new 211 rules: (i) require that information about the company and the security be current and publicly available in order to initiate or continue to quote a security; (ii) limit certain exceptions to the rule including the piggyback exception where a company’s information becomes unavailable to the public or is no longer current; (iii) limit certain exceptions to the rule including the piggyback exception where a company becomes and remains a shell company for a period of 18 months; (iv) reduce regulatory burdens to quote securities that may be less susceptible to potential fraud and manipulation; (v) allow OTC Markets itself to evaluate and confirm eligibility to rely on the rule; and (vi) streamline the rule and eliminate obsolete provisions.  For an in-depth discussion on the 15c2-11 rules, Read More »

OTCQB And OTC Pink Rule Changes

In December 2019 the OTC Markets updated its Pink Disclosure Guidelines and Attorney Letter Agreement and Guidelines.  The Pink disclosure guidelines and attorney letter apply to companies that elect to report directly to OTC Markets pursuant to its Alternative Reporting Standard.  Furthermore, in January 2020 OTC Markets amended the OTCQB standards related to the disclosure of convertible debt and notification procedures for companies undergoing a change in control.  The OTCQB also updated its criteria for determining independence of directors, and added additional transfer agent requirements for Canadian Companies.

The OTC Markets divide issuers into three (3) levels of quotation marketplaces: OTCQX, OTCQB and OTC Pink Open Market. SEC Fall 2019 Regulatory Agenda

In late 2019, the SEC published its latest version of its semiannual regulatory agenda and plans for rulemaking with the U.S. Office of Information and Regulatory Affairs. The Office of Information and Regulatory Affairs, which is an executive office of the President, publishes a Unified Agenda of Regulatory and Deregulatory Actions (“Agenda”) with actions that 60 departments, administrative agencies and commissions plan to issue in the near and long term.  The Agenda is published twice a year, and for several years I have blogged about each publication.

SEC Proposes Amendments To 15c2-11

As anticipated, on September 26, 2019, the SEC published proposed amendments to Securities Exchange Act (“Exchange Act”) Rule 15c2-11.  The purpose of the rule amendment is to enhance retail protection where there is little or no current and publicly available information about a company and as such, it is difficult for an investor or other market participant to evaluate the company and the risks involved in purchasing or selling its securities.  The SEC release also includes a concept release regarding information repositories and a possible regulatory structure for such entities.  The SEC believes the proposed amendments will preserve the integrity of the OTC market, and promote capital formation for issuers that provide current and publicly available information to investors.

In May 2019, the SEC published its latest version of its semiannual regulatory agenda and plans for rulemaking with the U.S. Office of Information and Regulatory Affairs. The Office of Information and Regulatory Affairs, which is an executive office of the President, publishes a Unified Agenda of Regulatory and Deregulatory Actions (“Agenda”) with actions that 60 departments, administrative agencies and commissions plan to issue in the near and long term.  The Agenda is published twice a year, and for several years I have blogged about each publication.

Equity Market Structure – Musings By The SEC; 15c2-11 And Penny Stocks

In March, SEC Chairman Jay Clayton and Brett Redfearn, Director of the Division of Trading and Markets, gave a speech to the Gabelli School of Business at Fordham University regarding the U.S. equity market structure, including plans for future reform. Chair Clayton begins his remarks by praising the Treasury Department’s four core principles reports. In particular, the Treasury Department has issued four reports in response to an executive order dated February 3, 2017 requiring it to identify laws, treaties, regulations, guidance, reporting and record-keeping requirements, and other government policies that promote or inhibit federal regulation of the U.S. financial system.

The four reports include thorough discussions and frame the issues on: (i) Banks and Credit Unions; (ii) Capital Markets (see my blog HERE); (iii) Asset Management and Insurance; and (iv) Nonbank Financials, Fintech and Innovation (see my blog HERE).

State Crowdfunding Using Intrastate Offerings and Rule 147

The SEC has yet to publish proposed rules under Title III of the JOBS Act – the Crowdfunding Act.  The Crowdfunding Act amends Section 4 by of the Securities Act of 1933 (the Securities Act) to create a new exemption to the registration requirements of Section 5 of the Securities Act.  The new exemption allows Issuers to solicit “crowds” to sell up to $1 million in securities as long as no individual investment exceeds certain threshold amounts.

Over the past few years, the historical Pink Sheets has undergone some major changes, starting with the creation of certain “tiers” of issuers and culminating in its refurbished website and new URL, otcmarkets.com.Otcmarkets.com divides issuers into three (3) levels: OTCQX, OTCQB and Pink Sheets.

Issuers on the OTCQX must be fully reporting and current in their reporting obligations with the SEC and also undergo a quality review by industry professionals.Issuers on the OTCQB must be fully reporting and current in their reporting obligations with the SEC but do not undergo additional quality review.

Issuers on the Pink Sheets are not required to be reporting with the SEC.However, such issuers are then further qualified based on the level of voluntary information provided to the otcmarkets.com.Issuers with no information are denoted by a skull and crossbones, Issuers with limited financial and business information are classified as “limited information,” and Issuers that provide information as set forth in the OTC Read More »
